On September 6, 2023, Digital World Acquisition Corp., a Delaware corporation (the “Company”), filed an amendment to the Company’s Amended and Restated Certificate of Incorporation with the Secretary of State of the State of Delaware (the “Extension Amendment”). The Extension Amendment extends, upon the approval by the Corporation’s board of directors, the date by which the Company has to consummate an initial business combination up to four times, each by an additional three months, for an aggregate of 12 additional months (i.e. from September 8, 2023 up to September 8, 2024) or such earlier date as determined by the Board.
The foregoing description is qualified in its entirety by reference to the Extension Amendment, a copy of which is attached as Exhibit 3.1 hereto and is incorporated by reference herein.

On September 5, 2023, the Company held a special meeting of stockholders (the “Meeting”). At the Meeting, the Company’s stockholders approved the Extension Amendment extending, upon the approval by the Corporation’s board of directors, the date by which the Company has to consummate an initial business combination up to four times, each by an additional three months, for an aggregate of 12 additional months (i.e. from September 8, 2023 up to September 8, 2024) or such earlier date as determined by the Board (the “Extension Amendment Proposal”).

Specifically, 20,183,969 shares of the Company’s Class A common stock and 6,730,000 shares of the Company’s Class B common stock voted “FOR” the Extension Amendment Proposal, respectively.
Stockholders holding 28,745 shares of the Company’s Class A common stock exercised their right to redeem such shares for a pro rata portion of the funds in the Company’s trust account. As a result, we expect that approximately $294,348.80 (approximately $10.24 per share) will be removed from the Company’s trust account to pay such holders, which amount is subject to final adjustments by the trustee.

DIGITAL WORLD ACQUISITION CORP. (the Corporation), a corporation organized and existing under the laws of the State of Delaware, does hereby certify as follows:
1. | The name of the Corporation is Digital World Acquisition Corp. The Corporations Certificate of Incorporation was filed in the office of the Secretary of State of the State of Delaware on December 11, 2020 (the Original Certificate). An Amended and Restated Certificate of Incorporation was filed in the office of the Secretary of State of the State of Delaware on September 2, 2021 (the Original Amended and Restated Certificate of Incorporation). A Certificate of Correction was filed in the office of the Secretary of State of the State of Delaware on May 18, 2022 to correct an inaccuracy of Section 9.1(c) of the Original Amended and Restated Certificate of Incorporation (the Amendment to the Amended and Restated Certificate of Incorporation). An Amendment to the Amended and Restated Certificate of Incorporation was filed in the office of the Secretary of State of the State of Delaware on November 22, 2022 (First Amendment to the Amended and Restated Certificate of Incorporation). |
2. | This Second Amendment to the Amended and Restated Certificate of Incorporation amends the Amended and Restated Certificate of Incorporation of the Corporation. |
3. | This Second Amendment to the Amended and Restated Certificate of Incorporation was duly adopted by the affirmative vote of the holders of 65% of the then issued and outstanding shares of Class A common stock and Class B common stock, voting together as a single class, in accordance with the provisions of Section 242 of the General Corporation Law of the State of Delaware (the DGCL). |
4. | The text of Section 9.1(c) of Article IX is hereby amended and restated to read in full as follows: |
(c) | In the event that the Corporation has not consummated an initial Business Combination by September 8, 2023, upon the approval by the Corporations board of directors, the Corporation may extend the period of time to consummate a Business Combination up to four times, each by an additional three months, for an aggregate of 12 additional months to September 8, 2024. |

Digital World Acquisition Corp. Announces Voting Results of Special Meeting to Approve the Extension Amendment
Miami, FL, September 6, 2023 Digital World Acquisition Corp. (Nasdaq: DWAC) (Digital World or the Company) announced today that the Companys stockholders voted in favor of the proposal to amend its amended and restated certificate of incorporation (Extension Amendment) to extend the period of time available to complete a business combination, in three-month increments, until September 8, 2024 or such earlier date as determined by the Companys Board of Directors, at the special meeting of its stockholders that took place September 5, 2023 at 10:00 am ET. The Extension Amendment was approved by a vote of approximately 72.33% of the outstanding shares of common stock on July 10, 2023, the record date. A Current Report on Form 8-K disclosing the full voting results will be filed with the Securities and Exchange Commission.
