Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On July 7, 2014, Global Digital Solutions, Inc., a New Jersey corporation, filed a Certificate of Amendment to Certificate of Incorporation (the “Amendment”) to change (i) the number of its authorized shares of common stock, par value $0.001 per share, from 175,000,000 to 450,000,000, and (ii) the number of its authorized shares of preferred stock, par value $0.001 per share, from 10,000,000 to 35,000,000. A copy of the Amendment is attached hereto as Exhibit 3.1.
