  Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

Effective March 10, 2017, DiMi Telematics International, Inc. (the “Company”) changed its legal corporate name to “Bespoke Extracts, Inc.” from “ DiMi Telematics International, Inc. ” The Company effectuated the name change through a short-form merger pursuant to Section 92A of the Nevada Revised Statutes where a subsidiary formed solely for the purpose of the name change was merged with and into the Company, with the Company as the surviving corporation in the merger. The merger had the effect of amending the Company’s Articles of Incorporation to reflect its new legal name. A copy of the Articles of Merger effecting the name change, as filed with the Secretary of State of the State of Nevada, is attached hereto as Exhibit 3.1.

 

Item 8.01 Other Information.

 

The Company’s name change became effective with the Financial Industry Regulatory Authority, Inc. (“FINRA”) on March 10, 2017, and the Company’s common stock now trades on the OTC Pink Markets under the new name and a new ticker symbol, “BSPK”.
