EXPLANATORY NOTE

On November 27, 2020, Medigus Ltd. (the “Company”) announced that Ms. Tatiana Yosef, Chief Financial Officer of the Company, will step down from her position, effective January 15, 2021 and continue to serve as the Chief Financial Officer of the Company’s subsidiary ScoutCam Inc. Ms. Yosef expressed no disagreements with the Company or its board of directors. During the interim period, Ms. Yosef will continue to perform her responsibilities and will endeavor to enable a seamless transition with the person who will be elected to replace her as the Chief Financial Officer of the Company.
