Item 8.01 Other Events.

On January 15, 2021, Spartan Acquisition Corp. II (the “Company”) issued a press release, a copy of which is attached as Exhibit 99.1 to this Current Report on Form 8-K, announcing that the holders of the Company’s units may elect to separately trade the shares of Class A common stock and warrants included in the units commencing on January 15, 2021. Those units not separated will continue to trade on the New York Stock Exchange (the “NYSE”) under the symbol “SPRQ U,” and each of the shares of Class A common stock and warrants that are separated will trade on the NYSE under the symbols “SPRQ” and “SPRQ WS,” respectively. Holders of the units will need to have their brokers contact Continental Stock Transfer & Trust Company, the Company’s transfer agent, in order to separate the holders’ units into Class A common stock and redeemable warrants.

Spartan Acquisition Corp. II Announces the Separate Trading of its Class A Common Stock and Warrants, Commencing January 15, 2021

 

NEW YORK, January 15, 2021 — Spartan Acquisition Corp. II (NYSE: SPRQ U) (the “Company”) announced that, commencing January 15, 2021, holders of the units sold in the Company’s initial public offering may elect to separately trade the shares of Class A common stock and warrants included in the units.
