Explanatory Note

 

As previously reported, on September 7, 2021, ReTo Eco-Solutions, Inc. (the “Company”) received a letter from the Listings Qualifications Department of The Nasdaq Capital Market (“Nasdaq”) notifying the Company that the minimum closing bid price per share for its ordinary shares was below $1.00 for a period of 30 consecutive business days and that the Company did not meet the minimum bid price requirement set forth in Nasdaq Listing Rule 5550(a)(2). The Company was provided with 180 days to regain compliance with the Rule. As a result of the Company’s ordinary shares closing with a bid price of at least $1.00 for at least 10 consecutive days, on November 10, 2021, Nasdaq notified the Company that it has regained compliance with Listing Rule 5550(a)(2) and the matter is now closed.

 

On November 15, 2021, the Company issued a press release titled: “ReTo Eco-Solutions, Inc. Regains Compliance with Nasdaq Minimum Bid Price Requirement.” A copy of the press release is attached hereto as Exhibit 99.1.

ReTo Eco-Solutions, Inc. Regains Compliance with Nasdaq Minimum Bid Price Requirement

 

BEIJING, November 15, 2021 – ReTo Eco-Solutions, Inc. (NASDAQ: RETO) (“ReTo” or the “Company”) a provider of technology solutions for the improvement of ecological environments, today announced that it received notification from the Listing Qualifications Department of The Nasdaq Stock Market (“Nasdaq”) compliance with the minimum bid price requirement of US$1.00 per share under the Nasdaq Listing Rules (the “Listing Rules”).

 

On November 11, 2021, Nasdaq provided confirmation to the Company that for at least 10 consecutive business days, i.e. from October 28 to November 10, 2021, the closing bid price of the Company’s ordinary shares has been at $1.00 per share or greater. Accordingly, the Company has regained compliance with Listing Rule 5550(a)(2).
