Item 8.01 Other Events

On April 4, 2019, Dynasil Corporation of America ("Dynasil") was informed by the Listing Qualifications Department (the "Staff") of The Nasdaq Stock Market LLC that Dynasil regained compliance with the minimum bid price requirement in Nasdaq Listing Rule 5550(a)(2) as a result of the closing bid price of Dynasil's common stock being $1.00 per share or greater for the 10 consecutive business day period from March 19, 2019 to April 3, 2019. As previously reported, Dynasil was not in compliance with the minimum bid price requirement because the closing bid price for its common stock was less than $1.00 for the 30 consecutive business days preceding January 8, 2019. That matter is now closed.
