Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 16, 2020, John D. Stoneham notified MoneyGram International, Inc. (“MoneyGram”) of his resignation as MoneyGram’s Corporate Controller and Principal Accounting Officer, effective March 27, 2020. On March 17, 2020, MoneyGram appointed Lawrence Angelilli, MoneyGram’s Chief Financial Officer, to serve as the Principal Accounting Officer, effective March 28, 2020. Mr. Angelilli will retain his current responsibilities and will serve as the Company’s principal accounting officer until such time as the Company may appoint a new principal accounting officer. No changes were made to Mr. Angelilli’s compensation arrangements in connection with this appointment.

Lawrence Angelilli, age 64, has served as Chief Financial Officer since January 2016. Prior to that, Mr. Angelilli served as Senior Vice President, Corporate Finance and Treasurer since 2014. He joined the Company in August 2011 as Senior Vice President and Treasurer. From 2009 to 2010, Mr. Angelilli served as Director of Underwriting at Hudson Advisors, a global asset management company affiliated with Lone Star Funds, a global private equity fund. From 1998 to 2009, he was Senior Vice President of Finance at Centex Corporation, a publicly traded homebuilder and mortgage originator.

There are no family relationships, as defined in Item 401 of Regulation S-K, between Mr. Angelilli and any of the Company's executive officers or directors or persons nominated or chosen to become a director or executive officer. There are no transactions in which Mr. Angelilli has an interest requiring disclosure under Item 404(a) of Regulation S-K.
