On May 18, 2021, MVB Financial Corp. ("MVB"), held its 23rd Annual Meeting of Shareholders.

The Proxy Committee certified that 8,625,383, or 74.42%, of the 11,590,045 outstanding voting shares of MVB Financial were represented in person or by proxy and that, in accordance with the Bylaws, a quorum was present.

The results of the proxy voting rounded to the nearest number of whole shares are as follows:

Item 7.01.    Regulation FD Disclosure.

On May 18, 2021, the Board of Directors of MVB declared a cash dividend of $0.12 per share to shareholders of record on June 1, 2021, payable June 15, 2021.

This is the second quarterly dividend for 2021 and includes a 20% increase in dividends as compared to the previous quarter dividend of $0.10 per share.

MVB Financial Corp. Declares Second Quarter 2021 Dividend
(FAIRMONT, W.Va.) May 19, 2021 – MVB Financial Corp. (NASDAQ: MVBF) (“MVB Financial,” “MVB,” or the “Company”) has declared a quarterly cash dividend of $0.12 per share for shareholders of record as of June 1,
2021, payable on June 15, 2021.

This is the second quarterly dividend for 2021 and includes a 20% increase in dividends as compared to the previous quarter dividend of $0.10 per share.

“MVB’s first quarter growth in loans and deposits sets us apart from the pack. We are pleased to be in the position to increase our dividend and allow shareholders to share in our growth,” said Larry F. Mazza, President and CEO, MVB Financial.
