Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On January 21, 2022, the Board of Directors (the “Board”) of Amyris, Inc. (the “Company”), upon the recommendation of the Nominating and Governance Committee of the Board, appointed Ana Dutra to the Board as a Class I director (whose initial term will expire at the Company’s annual meeting of stockholders to be held in 2023 or upon her earlier death, resignation or removal) to fill the vacancy resulting from the resignation of Carole Piwnica from the Board on May 29, 2021. In 2013, Ms. Dutra founded, and currently serves as CEO of, Mandala Global Advisors Inc., a provider of advisory services to boards and management to accelerate business growth through innovation, globalization, M&A, and turnaround strategies. She also serves on the board of directors of three public companies, CME Group, Inc., First Internet Bancorp, and CarParts.com.

Ms. Dutra is eligible for the Company’s standard compensation for non-employee directors, as disclosed in the “Director Compensation” section of the Company’s Definitive Proxy Statement on Schedule 14A filed with the Securities and Exchange Commission on April 12, 2021, and as amended from time to time by the Board. The Company will enter into an indemnification agreement with Ms. Dutra in the form that it has entered into with its other directors and that is filed as Exhibit 10.01 to the Company’s registration statement on Form S-1 (File No. 333-166135). The indemnification agreement, the Company’s restated certificate of incorporation, as amended, and restated bylaws require the Company to indemnify its directors to the fullest extent permitted by Delaware law.

There is no arrangement or understanding with any person pursuant to which Ms. Dutra was appointed as a member of the Board, and Ms. Dutra does not have any direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K promulgated under the Securities Exchange Act of 1934.
