A description of the common stock, par value $0.00001 per share, of NuZee, Inc., a Nevada corporation (the “Registrant”), to be registered hereunder is set forth under the caption “Description of Capital Stock” in the prospectus that constitutes a part of the Registrant’s Registration Statement on Form S-1, File No. 333-234643 (the “Registration Statement”), initially filed with the U.S. Securities and Exchange Commission on November 12, 2019, as subsequently amended from time to time thereafter, and is incorporated herein by reference.  Any form of prospectus that constitutes part of the Registration Statement and is subsequently filed by the Registrant pursuant to Rule 424(b) under the Securities Act of 1933, as amended, shall also be deemed incorporated herein by reference.
