Item 1.01 Entry into a Material Definitive Agreement.

 

On December 4, 2013, the Company and one of its directors, Mr. Thomas J. Labus , agreed to a one-year extension of a consulting arrangement for calendar year 2014, the terms of which are contained in a letter agreement between the Company and Mr. Labus’s wholly-owned consulting company, SCIRE Corporation, attached as Exhibit 10.1.
