On February 24, 2020, Kimco Realty Corporation (the “Company”) issued a press release announcing the extension of its share repurchase program as described in Item 8.01 below.

Item 8.01   Other Events.

 

On February 23, 2020, the Company’s Board of Directors (the “Board”) approved an extension of the Company’s existing share repurchase program for up to $300.0 million of shares of the Company’s common stock, of which $224.9 million remains available. As extended, the repurchase program is scheduled to expire on February 28, 2022, unless further extended by the Board.

 

Repurchases may be made at management’s discretion from time to time in the open market, through privately negotiated transactions or by other means, all in accordance with the Securities and Exchange Commission and other applicable legal requirements. The specific timing, price and size of purchases will depend on prevailing stock prices, general economic and market conditions, and other considerations. The repurchase program does not obligate the Company to acquire any particular amount of its common stock, and the repurchase program may be suspended or discontinued at any time at the Company’s discretion.

Kimco Realty Announces Extension of Stock Repurchase Program

 

JERICHO, New York, February 24, 2020 - Kimco Realty Corp. (NYSE:KIM) today announced that its Board of Directors approved an extension of Kimco’s stock repurchase program for up to $300.0 million of shares of the Company’s common stock until February 28, 2022. Kimco has $224.9 million that remains available under the repurchase program.
