ITEM 5.03 AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR
Effective July 9, 2020, the board of directors of Pacific Oak Strategic Opportunity REIT, Inc. (the “Company”) approved Amendment No. 1 (the “Amendment”) to the Company’s bylaws (the “Bylaws”) to clarify the scope of the exclusive forum provision. The Amendment revises Article XIV to clarify that the exclusive forum provisions in Article XIV do not apply to claims under the Securities Act of 1933, as amended, the Securities Exchange Act of 1934, as amended, or any other claim for which the federal courts have exclusive jurisdiction. The Amendment is attached to this Current Report on Form 8-K as Exhibit 3.1.

AMENDMENT NO. 1 TO THE
THIRD AMENDED AND RESTATED BYLAWS
OF
PACIFIC OAK STRATEGIC OPPORTUNITY REIT, INC.
Pursuant to Article XIII of the Third Amended and Restated Bylaws (“Bylaws”) of Pacific Oak Strategic Opportunity REIT, Inc. (the “Corporation”), the Bylaws of the Corporation are hereby amended by adding the following sentence to the end of Article XIV:
The provisions of this Article XIV do not apply to claims brought to enforce a duty or liability created by the Securities Act of 1933, as amended, or the Exchange Act, or any other claim for which the federal courts have exclusive jurisdiction.
