On October 11, 2018, Verus International, Inc. (the “Company”) filed with the Delaware Secretary of State a certificate of amendment (the “Amendment”) to the Company’s Amended and Restated Certificate of Incorporation, as amended, to change the legal name of the Company from “RealBiz Media Group, Inc.” to “Verus International, Inc.”, effective as of October 16, 2018. A copy of the Amendment effecting the name change, as filed with the Delaware Secretary of State is attached hereto as Exhibit 3.1.

The Company’s name change became effective with the Financial Industry Regulatory Authority, Inc. on October 16, 2018 and the Company’s common stock now trades on the OTC Pink Markets under the new name and a new ticker symbol, “VRUS”.
