Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

Michael Mainelli resigned as the Interim Chief Executive Officer and a director of Xtant Medical Holdings, Inc. (the “Company”), effective March 18, 2019. Mr. Mainelli’s resignation as a director was not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Board of Directors intends to initiate a search for a Chief Executive Officer. In the meantime, Greg Jensen, the Company’s current Vice President of Finance, Interim Chief Financial Officer, will serve as the Company’s principal executive officer. Mr. Jensen’s biographical information is contained in a Current Report on Form 8-K filed by the Company with the Securities and Exchange Commission on February 11, 2019.
