On March 24, 2020, Sigma Labs, Inc. (the “Company”) adopted an amendment (the “Amendment”) to the Company’s Amended and Restated Bylaws (the “Bylaws”), effective as of that date. The Amendment authorized the Company to hold annual and special meetings solely by means of remote communication (Article II, Section 1 of the Bylaws).
The Amendment is filed as Exhibit 3.1 hereto and is incorporated by reference into this Item 5.03. The foregoing description of the Amendment is qualified in its entirety by reference to the full text of the Amendment.

On March 25, 2020, the Company issued a press release with respect to the change in the format of the Company’s Special Meeting of Stockholders to be held on March 27, 2020 due to the current situation regarding the public health impact of the COVID-19 pandemic and limitations within the state of New Mexico on all non-essential gatherings of individuals. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.

The Amended and Restated Bylaws (the “Bylaws”) of Sigma Labs, Inc. are hereby amended as follows:
1. | Article II, Section 1 of the Bylaws is hereby amended and restated to read in its entirety as follows: |
“All meetings of the stockholders shall be held at any place within or outside the State of Nevada as shall be designated from time to time by the Board of Directors. Notwithstanding anything to the contrary in the Bylaws, in the absence of any such designation, stockholders’ meetings shall be held at the principal executive office of the Corporation; provided, however, that in lieu of holding an annual or special meeting of stockholders at a designated place, the Board of Directors, may, in its sole discretion, determine that any meeting of stockholders may be held solely by means of remote communication. For the purpose of this Section 1, “remote communication” shall mean electronic communications, videoconferencing, teleconferencing or other available technology where this Corporation has implemented reasonable measures to: (a) verify the identity of each person participating through such means as a stockholder; and (b) provide the stockholders a reasonable opportunity to participate in the meeting and to vote on matters submitted to the stockholders, including an opportunity to communicate, and to read or hear the proceedings of the meetings in a substantially concurrent manner with such proceedings.”
Except as amended hereby, the Amended and Restated Bylaws of Sigma Labs, Inc. shall remain in full force and effect.

Sigma Labs Announces Virtual Format Change for 2020 Special Meeting of Stockholders
Special Meeting of Stockholders Shifted to Virtual Format Due to COVID-19 Pandemic Related Health Concerns
SANTA FE, NM - March 25, 2020 - Sigma Labs, Inc. (NASDAQ: SGLB) (“Sigma Labs” or the “Company”), a leading developer of quality assurance software for the commercial 3D printing industry, announced today that, due to the current situation regarding the public health impact of the COVID-19 pandemic and limitations within the state of New Mexico on all non-essential gatherings of individuals, the Company has changed the format of its special stockholders meeting from a physical in-person meeting to a virtual webcast, and invites stockholders to participate remotely.
The special stockholders meeting will be held at 10:00 a.m. Mountain time on March 27, 2020 via webcast. Please see below for full details:
