COO Compensation
Effective June 29, 2021, LifeMD, Inc. (the “Company”) and Brad Roberts, its Chief Operating Officer, entered into the Second Amendment (the “Amendment”) to the Amended and Restated Employment Agreement dated December 21, 2020 between the Company and Mr. Roberts (as first amended on June 15, 2021) to provide that Mr. Roberts is eligible to receive up to 300,000 restricted stock units of the Company’s common stock, par value $0.01 (the “RSUs”), which will vest subject to the Company’s Telemedicine Brands (as defined in the Amendment) achieving certain revenue milestones. The RSUs will also vest upon a Change of Control (as defined in the Amendment).
