We have served as counsel to Blink Charging Co., a Nevada corporation (the “Company”), in connection with certain matters arising out of the registration by the Company of 7,454,975 shares (the “Shares”) of the Company’s common stock, par value $0.001 per share, covered by the above-referenced Registration Statement (the “Registration Statement”), filed by the Company with the U.S. Securities and Exchange Commission (the “Commission”) under the Securities Act of 1933, as amended (the “Securities Act”). The Shares were issued pursuant to an Agreement and Plan of Merger, dated as of June 13, 2022 (the “Acquisition Agreement”), by and among the Company, Blink Sub I Corp., Blink Sub II LLC, SemaConnect, Inc., and Shareholder Representative Services LLC (solely in its capacity as the stockholders’ representative). We are rendering this opinion pursuant to the requirements of the Securities Act in connection with the prospectus supplement (the “Prospectus Supplement”) dated as of the date hereof. In connection with our representation of the Company, and as a basis for the opinion hereinafter set forth, we have examined and relied upon originals, or copies certified or otherwise identified to our satisfaction, of the following documents (collectively, the “Documents”):
