Item 5.02. 
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 5, 2019, The Energy & Minerals Group notified NGL Energy Holdings LLC (the “General Partner”), the general partner of NGL Energy Partners LP (the “Partnership”), that effective immediately, Louis John Schaufele IV will no longer serve as the designated director for EMG I NGL Holdings, LLC on the board of directors of the General Partner.  Mr. Schaufele’s resignation did not result from a disagreement on any matter relating to the Partnership’s operations, policies or practices, but rather pursuant to the sale of EMG I NGL Holdings’ investment in the General Partner to the Partnership, as discussed further in Item 8.01 below.

Item 8.01. 
Other Matters.

On September 5, 2019, the Partnership acquired, from EMG I NGL Holdings, LLC, a 5.733% interest in the General Partner for $11.5 million in cash.
