Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On June 28, 2019, Aspen Group, Inc. (the Company) filed with the Secretary of State of the State of Delaware an amendment to the Companys Certificate of Incorporation, as amended, to effect a reduction in the number of shares of common stock, par value $0.001 per share (the Common Stock) the Company is authorized to issue from 250,000,000 to 40,000,000 shares, and the number of shares of preferred stock, par value $0.001 per share (the Preferred Stock) the Company is authorized to issue from 10,000,000 to 1,000,000 shares (the Amendment). The Amendment was effective upon filing.
As described in more detail under Item 5.07 of this Current Report on Form 8-K, the stockholders of the Company had previously approved the Amendment at a special meeting of stockholders held on June 28, 2019.
The description of the Amendment does not purport to be complete and is qualified by the full text of the Amendment attached as Exhibit 3.1 to this Current Report on Form 8-K and is incorporated herein by reference.
Item 5.07 Submission of Matters to a Vote of Security Holders.
The Company held a special meeting of stockholders (the Special Meeting) of the Company on June 28, 2019. At the Special Meeting, the Companys stockholders voted on the following proposals: (i) approval of the reduction in the number of authorized shares of Common Stock from 250,000,000 to 40,000,000 shares, and the number of authorized shares of Preferred Stock from 10,000,000 to 1,000,000 shares (the Authorized Share Reduction), and a corresponding Amendment to the Companys Certificate of Incorporation, as amended, to effect the Authorized Share Reduction (Proposal 1); and (ii) approval of the adjournment of the Special Meeting to a later date or time, if necessary, to permit further solicitation and vote of proxies if, based upon the tabulated vote at the time of the Special Meeting, there are not sufficient votes to approve the Authorized Share Reduction (Proposal 2), as described in more detail in the Companys definitive proxy statement filed with the Securities and Exchange Commission on May 20, 2019.
Set forth below are the voting results on each matter submitted to the stockholders at the Special Meeting.

CERTIFICATE OF AMENDMENT
OF CERTIFICATE OF INCORPORATION
OF
ASPEN GROUP, INC.
Pursuant to the provisions of Section 242 of the General Corporation Law of the State of Delaware, Aspen Group, Inc., a Delaware Corporation (the Corporation), in order to amend its Certificate of Incorporation, as amended, hereby certifies as follows:
FIRST: The name of the Corporation is Aspen Group, Inc.
SECOND: That the Board of Directors of the Corporation adopted resolutions setting forth a proposed amendment to the Corporations Certificate of Incorporation, as amended, declaring said amendment to be advisable and in the best interests of the Corporation and its stockholders, and calling a meeting of the stockholders of the Corporation for consideration thereof. The resolution setting forth the proposed amendment is as follows:
RESOLVED, that the Board has determined it to be advisable and in the best interests of the Company and its stockholders to amend Section 4 of the Certificate of Incorporation, as amended, of the Company (the Certificate of Incorporation) by replacing the first sentence of said Section with the following sentence:
The total number of shares of stock of all classes and series the Company shall have authority to issue is 41,000,000 shares consisting of (i) 40,000,000 shares of common stock, par value of $0.001 per share, and (ii) 1,000,000 shares of preferred stock, par value $0.001 per share, with such rights, preferences and limitations as may be set from time to time by resolution of the board of directors and the filing of a certificate of designation as required by the Delaware General Corporation Law.
THIRD: That thereafter, pursuant to resolution of the Board of Directors, a special meeting of the stockholders of the Corporation was duly called and held upon notice in accordance with Section 222 of the General Corporation Law of the State of Delaware at which meeting the necessary number of shares as required by statute were voted in favor of the amendment.
FOURTH: That said amendment was duly adopted in accordance with the provisions of Section 242 of the General Corporation Law of the State of Delaware.
