On June 16, 2016, Staffing 360 Solutions, Inc. (the “

”) filed an Amendment to Certificate of Designation After Issuance of Class or Series (the “
Amendment
”) for the Series C Preferred Stock, par value $0.00001 per share (the “
Series C Preferred Stock
”). The Amendment increased the number of Series C Preferred Stock from 500,000 shares authorized to 2,000,000 shares authorized.
