Item 3 .01.   Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard .

As previously disclosed, on August 28, 2018, Cytori Therapeutics, Inc. (the "Company") received a letter from the staff of The Nasdaq Stock Market LLC ("Nasdaq") notifying the Company that the Company’s common stock no longer meets a Nasdaq requirement for continued listing on The Nasdaq Capital Market: maintaining a minimum bid price of $1 per share, as set forth in Nasdaq Listing Rule 5550(a)(2) (the "Bid Price Requirement"). The Company was provided until February 25, 2019 to regain compliance with the continued listing rules.

On February 26, 2019, the Company received a letter from Nasdaq granting the Company an additional compliance period of 180 calendar days, or until August 26, 2019, in which to regain compliance. Nasdaq granted the additional compliance period after the Company continued to meet the continued listing requirement for market value of publicly held shares and all other initial listing standards for the Nasdaq Capital Market, with the exception of the Bid Price Requirement, and it provided notice to Nasdaq of its intent to cure the deficiency during this second compliance period, by effecting a reverse stock split, if necessary.
