EXPLANATORY NOTE

 

Aeglea BioTherapeutics, Inc. (the “Registrant”) is filing this Registration Statement with the Securities and Exchange Commission (the “Commission”) to register (a) 1,163,377 additional shares of Common Stock available for issuance under the Registrant’s 2016 Equity Incentive Plan, as amended (the “2016 EIP”), pursuant to the provision of the 2016 EIP providing for an annual 4% increase in the number of shares reserved for issuance, and (b) 290,844 additional shares of Common Stock available for issuance under the Registrant’s 2016  Employee Stock Purchase Plan (the “2016 ESPP”), pursuant to the provision of the 2016 ESPP providing for an annual 1% increase in the number of shares reserved for issuance.
