Item 8.01 Other Events.
On July 18, 2019, C&J Energy Services, Inc. (“C&J”) received notification of early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, with respect to the proposed merger of equals (the “proposed merger”) between C&J and Keane Group, Inc. (“Keane”). The termination satisfies one of the conditions to the closing of the proposed merger.

In connection with the proposed merger, Keane has filed a registration statement on Form S 4 that includes a joint proxy statement of Keane and C&J that also constitutes a prospectus of Keane with the Securities and Exchange Commission (the “SEC”).
