Centralized
—Centralized customers make decisions regarding the placement and allocation of mortgage insurance among their approved private mortgage insurers at the corporate level. Generally, these customers consist of the larger, national mortgage originators which originate loans across multiple states, but there are several regional and mid-size lenders which use this method as well.
|

Decentralized
—Decentralized customers make mortgage insurance purchasing decisions at the field or branch level. These customers generally are more prevalent with regional and mid-size lenders which originate mortgages in a smaller geographic footprint, but are also seen, on a limited basis, among some national lenders.
|

Regular Portfolio and Risk Management Reviews.
We conduct periodic insured mortgage portfolio reviews with customers, including detailed loan performance metrics.
|

|
Joint Product Development and Marketing Initiatives.
We emphasize the development of specialized products and programs that provide increased opportunities for customers and address targeted segments of the market. We recognize the value in developing new products collaboratively with our customers. We also work closely with customers to understand their strategic priorities and business objectives while identifying opportunities that will enhance and complement the customers' marketing activities.

Customer Service, Support and Trainings.
We have an experienced and knowledgeable customer services team that strives to provide premier service to our customers. We dedicate service representatives to our customers so they can establish relationships with their customer peers and become thoroughly familiar with unique customer systems, processes and service needs. We have developed mortgage industry training courses that are offered to our customers as a value added service. We have an experienced team that maintains the course materials so that they are relevant and current and who facilitate training sessions for our customers.

investing in new customer-facing technology that enables our customers to transact business faster and easier, whether over an internet browser or through direct system-to-system interfacing with our customers' loan origination and servicing systems;
|

|
integrating our platform with third-party technology providers used by our customers in their loan origination process and for ordering mortgage insurance;

developing and implementing a business rules engine that automatically enforces our eligibility guidelines and pricing rules at the time the mortgage insurance application is submitted; and

Delegated Underwriting.
We delegate to eligible customers the ability to underwrite the loans based on agreed-upon underwriting guidelines. To perform delegated underwriting, customers must be approved by our risk management group. See "—Risk Management—Loan Life Cycle Risk Management" below. Some customers prefer to assume underwriting responsibilities because it is more efficient within their loan origination process. Because this delegated underwriting is performed by third parties, we regularly perform quality assurance reviews on a sample of delegated loans to assess compliance with our guidelines. Non-Delegated Underwriting.
Customers who choose not to participate in, or do not qualify for, our delegated underwriting program submit loan files to us so that we may reach a decision as to whether we will insure the loan. In addition, customers participating in our delegated underwriting program may choose not to use their delegated authority, and instead may submit loans for our independent underwriting. Some customers prefer our non-delegated program because we assume underwriting responsibility and will not rescind coverage if we make an underwriting error, subject to the terms of our master policy. Prior to the initial public offering ("IPO") which was completed on November 5, 2013, the Company had two classes of common shares outstanding: Class A common shares and Class B-2 common shares. Additional employees were hired to support the growth in our business, particularly in our sales organization, as well as our underwriting and customer service teams. Compensation and benefits also increased as a result of an increase in annual incentive compensation and incremental cash and stock-based compensation. The increase in stock-based compensation was primarily due to the restricted shares and restricted share units issued to all employees in connection with our initial public offering as well as restricted shares and restricted share units issued in connection with annual incentive compensation. Compensation and benefits includes salaries, wages and bonus, stock compensation expense, benefits and payroll taxes.

Investments available for sale—Investments available for sale are valued using quoted market prices in active markets, when available, and those investments are classified as Level 1 of the fair value hierarchy. Level 1 investments available for sale include investments such as U.S. Treasury securities and money market funds. Investments available for sale are classified as Level 2 of the fair value hierarchy if quoted market prices are not available and fair values are estimated using quoted prices of similar securities or recently executed transactions for the securities. U.S. agency securities, U.S. agency mortgage-backed securities, municipal securities, corporate debt securities, mortgage-backed securities and asset-backed securities are classified as Level 2 investments.

Derivative liabilities—We define fair value as the current amount that would be exchanged to sell an asset or transfer a liability, other than in a forced liquidation. In determining an exit market, we consider the fact that there is not a principal market for these contracts. In the absence of a principal market, we value certain of our ACIS contracts in a hypothetical market where market participants, and potential counterparties, include other mortgage guaranty insurers or reinsurers with similar credit quality to us. We believe that in the absence of a principal market, this hypothetical market provides the most relevant information with respect to fair value estimates.

Who may Participate in the Leadership Bonus Program and Be Considered for Bonus Payments?

All Essent Group Ltd and its subsidiaries (“Company” or “Essent”) Senior Vice Presidents and above and other employees designated in writing as eligible to participate in the Bonus Program, who:

Are employed by the Company on or before October 31 of such Fiscal Year (and if hired on or after February 1 of such Fiscal Year, a Participant may participate in the Bonus Program for such Fiscal Year on a pro rata basis calculated as of the first day of the month in which employment commenced);

(2)
|
Are eligible to participate in the Essent Group Ltd. 2013 Long-Term Incentive Plan (the “2013 LTIP”);

(3)
|
Are not on any form of written corrective counseling at the time payments are made; and
|
(4)
|
Are employed by Essent on the date the cash bonus payment is made.

What is the Bonus Opportunity?
|
i)
|
Each Participant was provided with an annual
Target Bonus
expressed as a percentage of his or her base salary. This is typically documented in an offer letter or other writing signed by the President and CEO, or another authorized officer, of Essent.
|
c)
|
What Performance is Required for a Participant to be Eligible for a Bonus under the Bonus Plan?
|
•
|
The first factor is the achievement of Corporate Objectives as determined by Essent’s Board of Directors. The
Corporate Scorecard
identifying the level of achievement of Corporate Objectives will be published by management.
|
•
|
The second factor is based on the
Participant’s overall performance rating on his/her
Individual Scorecard
(“Annual Performance Review Form”). The Annual Performance Review will take into consideration the level of the Participant’s achievement of Individual Objectives as well as other success factors. Each Participant will receive an Annual Performance Review in the first calendar quarter of each year reviewing the previous calendar year’s results. This process of combining both Company
and individual achievement and rewarding success through the Bonus Program is designed to promote applicable desired conduct, including driving profitable business and balanced objectivity
.

Company Performance Scorecard
|

|
The company performance scorecard shall be approved by the Compensation Committee and distributed to Participant on an annual basis. In order for any payments to be made under the Bonus Program for a Fiscal Year, the weighted average score for all of the Corporate Objectives for that Fiscal Year must equal or exceed 2.5 (the “
Company Score
”).
|
•
|
Potential payment amounts increase as Essent’s weighted average scorecard score goes up.
|

Individual Performance Scorecard
|
•
|
Each Participant will have an Annual Performance Review to determine the achievement of Individual Objectives and other success factors. Please see
Exhibit B
for a sample of an Annual Performance Review Form that may be used as a scorecard for the achievement of Individual Objectives and other success factors.
|
•
|
In order for a Participant to receive a bonus under the Bonus Plan, he or she must have an overall Performance Review Rating of 3 or higher on Essent’s 5-point scale at the time bonuses are paid (“Individual Score”), plus a Company Score of at least 2.5.
|
•
|
As a Participant’s Individual Score increases, his/her potential to reach the “Target” bonus or above also increases.
|
•
|
Each Participant has been assigned a weighting between the Company Score and Individual Score.
Exhibit C
provides an example of a possible correlation between the achievement of Company Score and Individual Score and its impact on the potential bonus awards.
Actual weightings are communicated individually and are determined by position.
|

|
Timing:

Any cash payment in respect of a bonus awarded under the Bonus Program is scheduled to occur as soon as practicable following the close of Fiscal Year, but in any case on or before March 15
th
of the following year.

-100% of any awarded bonus will be paid in cash (via check or direct) deposit, less all applicable taxes and deductions

Necessary Approvals
The President and CEO together with the Compensation Committee (the “Compensation Committee”) and Board of Directors will review and approve all Participants’ awards under this Bonus Program. |

The President and CEO’s awards under this Bonus Program are approved by the Compensation Committee and the Board of Directors. The Board of Directors has sole discretion and final review and approval authority over the award pool under the Bonus Program, and holds the responsibility for reviewing and approving recommended individual payments for all Participants. If a Participant in this Program satisfies the “Covered Employee” definition in the Essent Group Ltd. Annual Incentive Plan (the “Annual Plan”), this Program document will serve as administrative guidelines for the Compensation Committee to apply in determining the cash bonus payout for that employee under the Bonus Program.
|

Who administers the Bonus Program?
|

|
Providing information to the Compensation Committee and the Board of Directors;
|
•
|
Recommending eligibility rules, individual bonus target assignments and the relative weights of Company and Individual performance;
|

Establishing performance standards;
|
•
|
Adjusting financial accruals as necessary;
|
•
|
Facilitating the collection of aggregate and group payment
recommendations for review by the President and CEO, according to the pool assigned by the Compensation Committee of the Board of Directors;
|
•
|
Reviewing and verifying all proposed payments before such payments are made;
|
•
|
Determining the extent to which internal transfers, promotions, changes in full-or-part-time status and approved leaves of absence impact accruals, targets and actual rewards; and
|
•
|
Interpreting the Bonus Program document and establishing, adopting, or amending any provisions as are necessary for proper administration, consulting where appropriate with the Compensation Committee and Board of Directors.
|

|
Important Details:
|
•
|
Essent is an employer at will
. Participation in the Bonus Program or any enhancement of the Bonus Program does not impact this fact in any way. Neither the Bonus Program nor any future enhancement will be deemed a contract for employment.
|
•
|
The Bonus Program and Exhibits hereto may be amended, suspended or terminated
at any time without notice
upon the approval of the Compensation Committee and Board of Directors.
|
•
|
Termination of Employment.
|
i.
|
If a Participant’s employment is terminated
(voluntarily or involuntarily) prior to the awarding
or payment
of any bonus under the Bonus Program, the Participant will
not be entitled to any award or payment under the Bonus Program.
|
ii.
|
If a Participant’s employment is terminated (voluntarily or involuntarily)
prior to payment
of an awarded bonus under the Bonus Program, the Participant will not be entitled to any award or payment under the Bonus Program and will forfeit any such payment.
|
•
|
The Committee and the Compensation Committee retain the right
to make equitable judgments with regard to the awarding, funding and the distribution of awards under the Bonus Program.
|
•
|
Taxes and other deductions will be withheld
as required by law and in compliance with Essent's internal policies. Cash payments will not be considered part of any Participant’s base salary.
|
•
|
401(k) Savings Plan deductions
will be taken at the Participant’s deferral rate in effect at the time of payment. Bonus payments are subject to all applicable laws and regulations and 401(k) plan laws requirements and constraints.
|
•
|
Life Insurance and Other Benefits.
Participant’s base salary will remain the basis for life insurance, accidental death and disability and long and short term disability. Any award under this Bonus Program will not increase the level of these benefits.
|
•
|
Leave of Absence.
Participant’s bonus will be pro-rated for any time away from work for an approved leave of absence in excess of two weeks.
|
•
|
409A Compliance.
This Bonus Program is intended to comply with the short term deferral rule set forth in the regulations under section 409A of the Internal Revenue Code of 1986, as amended (“Code”) in order to avoid application of Section 409A to this Bonus Program. This Bonus Program shall be administered in accordance with Section 409A of the Code.
|

|
Conflict. In the event of a conflict between the terms of this Bonus Program and the terms of a Participant’s individual employment
or award agreement, the terms of the applicable employment or award agreement shall control.
|

|
The Executive hereby agrees that during term of employment or at any time thereafter, he/she shall not use or disclose to any person, firm or corporation any confidential information acquired by, or disclosed to him/her except in the course of performing his/her duties for the Company. The term Confidential Information shall include, but shall not be limited to, proprietary models, analysis, processes or technology, trade secrets, patented processes, research and development data, know-how, formulae, contractual information pricing policies, loss developments, financial information, the substance of agreements and arrangements with customers, suppliers and others, names of accounts, customer and supplier lists, executive lists and any other documents embodying such confidential and proprietary information whether it is available in any and all media including, but not limited to: writing, paper, electronic or digital format
|

|
All information and documents relating to the Company, or any of its affiliates including but not limited to the Confidential Information shall be the exclusive property of the Company and the Executive shall use commercially reasonable efforts to prevent any unintended publication or disclosure of such information and documents. Upon termination of the employment of the Executive with the Company, the Executive shall not take from and will promptly return to the Company all Company property including, but not limited to, documents, records, customer or supplier lists, computer programs, equipment designs, technical information, reports, writings and other similar documents containing Confidential Information of the Company, Essent Group, Ltd. or any of its affiliates, including copies thereof, then in the Executive’s possession or control except to the extent such documents relate to the Executive’s employment status or benefits with the Company.
|

Confidential Information does not include information which is: (i) in the public domain through no fault of the Executive; (ii) generally known by persons other than the Company or persons employed by, in control of or otherwise affiliated with the Company; (iii) already known to the Executive at the time of such disclosure; (iv) independently developed by the Executive without use of any confidential or proprietary information of the Company or its affiliates; (v) approved in writing for unrestricted release or unrestricted disclosure by the Company; or (vi) produced or disclosed pursuant to applicable laws, regulations or court order, provided the Executive has given the Company written notice of such request (to the extent permitted by law) such that the Company has an opportunity to defend, limit or protect such production or disclosure.
|
4.
|
At the Company’s election to be communicated by written notice to the Executive, the Executive hereby undertakes with the Company that during the 12 months following termination (the “Non-Compete Period”) he will not, whether by himself through his executives or agents or otherwise howsoever and whether on his own behalf or on behalf of any other person, firm, company or other organization, directly or indirectly:
|
a.
|
in competition with the Company within the Restricted Area, be employed or engaged or otherwise interested (otherwise than as a minority and passive shareholder in a publicly traded entity) in any business relating to Company Services including a start-up business whose ultimate business plan or purpose is to provide Company Services; or
|
b.
|
in competition with the Company, accept or facilitate the acceptance of any business dealings for Company Services from any Customer or Prospective Customer.
|
5.
|
In the event the Company elects to enforce this clause, the Company will pay the executive during the Non-Compete Period a pro rata monetary sum equivalent to the Executive’s Base Salary plus a pro rata monetary sum equivalent to the cost of Executive’s healthcare insurance premium in place at the time of
|

|
For the avoidance of doubt, the Non-Compete Payments will not be payable during any period of Garden Leave and the Non-Compete Period will be reduced by any period spent by the Executive on Garden Leave.
|
7.
|
The Executive hereby undertakes with the Company that during the 12 months following termination he shall not without the prior written consent of the Company (such consent not to be unreasonably withheld) whether by himself through his executives or agents or otherwise howsoever and whether on his own behalf or on behalf of any other person, firm, company or other organisation directly or indirectly:
|
a.
|
in competition with the Company, solicit business from or endeavor to entice away or canvass any Customer or Prospective Customer if such solicitation or canvassing is in respect of Company Services;
|
b.
|
solicit or induce or endeavour to solicit or induce any Restricted Executive to
|

|
The Executive agrees that during the Employment Period, and at all times thereafter, he will not make any disparaging or defamatory comments regarding any member of the Company Group or its respective current or former directors, officers, employees or shareholders in any respect or make any comments concerning any aspect of my relationship with any member of the Company Group or any conduct or events which precipitated any termination of my employment from any member of the Company Group. However, such obligations under this clause 8 shall not apply to disclosures required by applicable law, regulation, or order of a court or governmental agency.
|

|
The Executive agrees that all plans, manuals and specific materials developed by the Executive in connection with the performance of his/her duties as an executive are and shall remain the exclusive property of the Company. All drawings, models, designs, formulas, methods, code, software, documents and tangible items prepared for and/or submitted to the Company by the Executive in connection with the performance of the Executive’s duties shall belong exclusively to the Company and shall be deemed to be works made for hire (the "Deliverable Items"). To the extent that any of the Deliverable Items may not, by operation of law, be works made for hire, the Executive hereby assigns to the Company the ownership of copyright or mask work in the Deliverable Items, and the Company shall have the right to obtain and hold in its own name any trademark, copyright, or mask work registration, and any other registrations and similar protection
|

|
The Executive specifically acknowledges and agrees that the foregoing non-competition and non-solicitation provisions of clause 4 and 7, respectively, do not impose a greater restraint than is necessary to protect the legitimate business interests of the Company and contain certain limitations as to duration, geographic area and scope which are reasonable and necessary for the protection of the interests of the Company and its subsidiaries and affiliates. The Executive further acknowledges and agrees that any breach or threatened breach of any provision of this Agreement by the Executive will result in irreparable injury for which money damages will not provide an adequate remedy and shall therefore entitle the Company, in addition to any other remedies available to it at law or in equity, to seek and obtain an order from the Supreme Court of Bermuda temporarily, preliminarily, or permanently enjoining any such breach or threatened breach, without proof of actual damages.
|

|
This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument, and in pleading or proving any provision of this Agreement it shall not be necessary to produce more than one of such counterparts.
|
13.
|
This Agreement shall be governed by the laws of Bermuda without reference to principles of conflicts or choice of law under which the law of any other jurisdiction would apply. Save as provided for otherwise in this Agreement, any dispute or controversy arising under or in connection with this Agreement shall be settled by the following process: (1) The Executive and the Company will attempt in good faith to settle the dispute or controversy by mediation in Bermuda and agree to retain the services of a mediator who is acceptable to the parties. In the event that the Company and the Executive do not agree on an acceptable mediator within 7 days of the date any claim for arbitration hereunder is asserted a mediator shall be appointed by the Appointments Committee of the Chartered Institute of Arbitrators Bermuda Branch (the “Appointment Committee"). The Executive and the Company agree that any negotiations and/ or mediation pursuant to this Section 12 will be conducted over a period not to exceed thirty (30) calendar days.(2) The Executive and the Company agree that any such dispute or controversy which has not been resolved by mediation or negotiation as provided by this section will be finally resolved and settled by binding arbitration in Bermuda, in accordance with Bermuda International Conciliation and Arbitration Act 1993 and the UNCITRAL Arbitration Rules then in effect, by a sole arbitrator that is acceptable to the Company and the Executive. In the event that the Company and the Executive do not agree on an acceptable arbitrator within 30 days of the date any claim for arbitration hereunder is asserted, the arbitrator shall be appointed by the Appointment Committee. Unless any agreement reached in mediation or an arbitral award (whether interim or final), as the case may be, provides otherwise, all payments and benefits not subject to dispute or controversy shall be paid and provided to the Executive in accordance with the provisions of this Agreement. Judgment may be entered on a mediation agreement or arbitrator's award, as the case may be, in any court having jurisdiction. The prevailing Party in any such dispute resolution process shall be entitled to recover reasonable costs and attorneys’ fees from the other Party or Parties.
