Explanatory Note

This Form 8-K/A is being filed to amend the Current Report on Form 8-K initially filed with the Securities and Exchange Commission (“SEC”) on March 3, 2023 by Ontrak, Inc. (the "Company") to correct the title of Mary Louise Osborne as reported therein. Ms. Osborne previously served as the Company’s Co-President and Chief Commercial Officer, and is now serving as the Company's President and Chief Commercial Officer.
