Item 1.01 Entry into a Material Definitive Agreement
On
August 13, 2020, TPT Global Tech, Inc. (“TPT”) entered
into a COVID-19 Parking Lot Testing License Agreement ("License
Agreement") with Wal-Mart Real Estate Business Trust and Wal-Mart
Stores East, LP ("Wal-Mart"). The License Agreement with Wal-Mart
allows TPT to start offering Drive Thru COVID-19 testing for up to
five Wal-Mart locations in Florida and up to five Wal-Mart
locations in California.
On
January 31, 2020, the United States Secretary of Health and Human
Services ("HHS") declared a public health emergency pursuant to
section 319 of the PHS Act, 42 U.S.C. 247d, for the entire United
States to aid in the nation's health care community response to the
COVID-19 outbreak. This License Agreement is TPT’s response
to the COVID-19 outbreak and an opportunity for TPT to assist with
this national emergency.
TPT
MedTech, a subsidiary of TPT Global Tech, Inc., will launch its
QuikLAB operations around Miami Dade County, Florida and San Diego,
California. The TPT QuikLAB will offer PCR and Antibody rapid tests
to its customers. Customers will also be able to download the newly
developed QuikLAB App. The QuikLAB App allows customers to schedule
testing appointments to help alleviate long lines. It also allows
customers to choose which QuikLAB location best fits their
availability and receive their rapid test results when completed.
The QuikLAB App also has a "Hall Pass" Certificate feature that
will allow employers, sport venues, nightclubs, restaurants and
schools to monitor individuals, and give businesses and communities
a sense of freedom and safety to allow entrance to said
venues.
A copy
of the COVID-19 Parking Lot Testing License Agreement is attached
hereto as Exhibit 10.1.

announced today that its subsidiary TPT MedTech's Mobile Covid-19
Turnkey Rapid Test Lab "QuikLAB" and its SaniQuik product will air
on CBS Channel 8 Local News. The two products will be featured on
the "Zevely Zone" tonight, August 5, 2020 at 11 pm local time, and
Wednesday at 5pm and 6pm local time. Jeff Zevely from CBS toured
the company's manufacturing facility in Chula Vista, California
Thursday July 30, 2020. TPTW's management team, which included
Stephen Thomas (CEO), Rick Eberhardt (EVP), and Mario Scade (CEO of
Aire Fitness division), gave Mr. Zevely a guided tour of the
company's new self-contained, portable, drive through QuikLAB Covid
19 testing and monitoring lab, and its SaniQuik sanitation booth.
The company recently received its zoning certificate from Dade
County Florida where it anticipates installing the first QuikLAB
for operations in the near future.

announces a correction or clarification in its June 18, 2020 Press
Release: "TPT Global Tech's Medical Division Completes
Manufacturing of the First of Its Kind QuikLab, A Mobile Turkey
Covid 19 Testing and Monitoring Lab."
The
company's QuikLab and SaniQuik products are not FDA approved. Our
QuikLab staff will only use EUA listed and FDA approved Covid 19
test kits for Antibody and PCR testing. Our SaniQuik Products use
an FDA registered solution that kills viruses and bacteria on
vegetables and surfaces where applied. Also, in the June 18 press
release we discussed the QuikLab and SaniQuik two-step process.
First you go through the QuikLab testing facility and get tested
for Covid 19 and then as a secondary procedure you walk thru our
SaniQuik sanitizer cabin. This is an attempt to establish the best
possible protection for individuals who use our two-step process.
In no way does our QuikLab or SaniQuik products cure Covid 19 and
should not be construed as such. QuikLab is not FDA approved, and
there is no process for QuikLab to be FDA approved.
