Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing

As previously reported, on February 3, 2023, Hyzon Motors Inc. (the “Company”) received a Staff Determination (the “Staff Determination”) from the Listing Qualifications Staff (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that, unless the Company requested an appeal, trading of the Company’s Class A common stock and warrants would be suspended from The Nasdaq Capital Market at the opening of business on February 14, 2023.

On February 10, 2023, the Company filed a request for hearing with the Nasdaq Hearings Panel (the “Hearings Panel”) in response to the Staff Determination, and requested a stay of the Staff Determination pending the hearing. On this same day, the Hearings Panel granted the Company a 15-calendar day stay of delisting, and subsequently granted the Company’s request for a stay pending the hearing.

The delisting hearing was held on March 16, 2023 before the Hearings Panel. At the hearing, the Company presented its plan to regain compliance with Nasdaq Listing Rule 5250(c)(1) (the “Periodic Filing Rule”), and requested the continued listing of its securities on The Nasdaq Capital Market pending such compliance.

On March 31, 2023, the Company received a letter from the Hearings Panel indicating that the Hearings Panel granted the Company’s request for continued listing until May 15, 2023, in order to allow the Company to regain compliance with the Periodic Filing Rule. The Company’s request for continued listing of its securities on The Nasdaq Capital Market until May 15, 2023 was granted subject to the condition that on or before May 15, 2023, the Company shall have filed with the Securities and Exchange Commission all delinquent reports, in compliance with the Periodic Filing Rule.

On April 3, 2023, the Company issued a press release announcing that the Hearings Panel granted the Company an extension to May 15, 2023 to regain compliance with the Periodic Filing Rule. HYZON MOTORS RECEIVES EXTENSION FROM NASDAQ FOR CONTINUED LISTING ON EXCHANGE

ROCHESTER, N.Y., April 3, 2023 – Hyzon Motors Inc. (NASDAQ: HYZN), a global supplier of zero-emission heavy-duty fuel cell electric vehicles (FCEVs), today announced that on March 31, 2023, the Nasdaq Hearings Panel granted Hyzon’s request for continued listing of its securities on The Nasdaq Capital Market until May 15, 2023, in order to allow Hyzon time to regain compliance with Nasdaq Listing Rule 5250(c)(1) (the “Periodic Filing Rule”).

The extension was granted following a hearing on March 16, 2023, in which Hyzon presented its comprehensive plan to regain compliance and requested the continued listing of its securities on The Nasdaq Capital Market pending such compliance.

The extension is subject to the condition that on or before May 15, 2023, Hyzon Motors will file all delinquent reports with the U.S. Securities and Exchange Commission (SEC), in compliance with the Periodic Filing Rule.
