Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously disclosed, on January 9, 2019, Veoneer, Inc. (the “Company”) announced that Mats Backman was appointed as the Company’s Chief Financial Officer and Executive Vice President, Finance. On February 20, 2019, the Company and Mr. Backman agreed that he will begin serving in such role as of March 1, 2019. See the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on January 9, 2019 for more information.

A copy of the press release announcing Mr. Backman’s start date is filed as Exhibit 99.1 to this report and the portion of the press release related to such announcement is incorporated herein by reference.

Veoneer publishes 2018 Annual Report on Form 10-K

Stockholm, Sweden, February 26, 2019: Veoneer, Inc. (NYSE: VNE and SSE: VNE SDB), the world’s largest pure-play company focused on Advanced Driving Assistance Systems (ADAS) and Automated Driving (AD), has filed its 2018 Annual Report on Form 10-K with the Securities and Exchange Commission (SEC).

As previously announced, Mr. Mats Backman has been appointed Chief Financial Officer of the Company. He will succeed Mr. Mathias Hermansson effective March 1, 2019. Mr. Backman has held a similar position at Autoliv, Inc. since 2016.
